Stinner NBA Past Chairman (308) 436-2300 Valley Bank & Trust Co., Gering T HE NBA BOARD OF DIRECTORS, AT ITS MAY 2014 MEETING, approved the formation of an NBA Board Composition & Dues Task Force to review the NBA dues formula, the current geographic boundaries of the NBA Groups, and the composition and size of the NBA Board of Directors. The Task Force met at the NBA office in Lincoln on May 29 and July 10, and presented its conclusions to the NBA Board of Directors on July 30. The new model then was shared with the membership at the NBA Statewide Networking Forums held in Scottsbluff, North Platte, Hastings, Ashland, Norfolk, and York in August. NBA Dues The consensus of the Task Force is to make no changes to the NBA dues formula and to continue to have the NBA Budget Committee and theNBABoard of Directors reviewand approve the dues formula on an annual basis. NBA Group Boundaries The Task Force proposed that the NBA geographic regions be reconfigured to include five regional groups versus the current eight. NBA Board Composition The Task Force proposed that the composition of the NBA Board of Directors be as follows: • Two members, serving three-year terms, from each of the five newly configured NBA Groups • NBA Chairman • NBA Chairman-Elect • Immediate NBA Past Chairman • At least three but not more than five at-large board members • The eight largest dues-paying members as ranked by Nebraska deposits based on the previous year’s June 30th Call Report will designate a representative to serve on the board as long as the institution meets the size criteria. (Currently, these banks include Lauritzen Corp., Wells Fargo Bank, N.A., U.S. Bank, N.A., Great Western Bank, Union Bank & Trust Co., Bank of the West, American National Bank, and Cornerstone Bank). • Total board size under this configuration could be 26, utilizing all five at-large representatives.
